These Terms of Service are a legally binding agreement between you and ReferralPulse, governing your access to and use of the ReferralPulse platform, including the website, mobile applications, and any related services.

By creating an account, accessing, or using the service, you acknowledge that you have read, understood, and agree to be bound by these terms and the privacy policy.

To use the service, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the service under applicable law
• Provide accurate and complete registration information

If you use the service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these terms.

ReferralPulse is designed for professionals in regulated industries including legal, financial services, insurance, and accounting. You are responsible for ensuring your use of the service complies with any professional licensing requirements, ethical rules, or regulations applicable to your profession.

3.1 Account creation

To access certain features of the service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Immediately notify ReferralPulse of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

3.2 Account security

You are responsible for safeguarding your account credentials. A strong, unique password is recommended, along with any available security features. You agree not to share your account credentials with any third party.

3.3 One account per user

Each user may maintain only one account. Creating multiple accounts to circumvent restrictions or for any other purpose is prohibited and may result in termination of all accounts.

ReferralPulse is a referral management platform designed to help professionals build and manage their referral networks. The service includes:

• Network management. Tools to organize and track your referral partners.
• Referral tracking. Systems to record, monitor, and analyze referrals.
• AI-powered features. Intelligent matching, drafting, and recommendations.
• Meeting recording. Recording and transcription of meetings where authorized.
• Compliance tools. Features for fee tracking, 1099 preparation, and audit logging.
• CRM integration. Connectivity with third-party CRM systems.
• Mobile applications. Native iOS and Android apps for mobile access.

ReferralPulse may modify, suspend, or discontinue any part of the service at any time, with or without notice. Reasonable efforts will be made to provide advance notice of material changes that may affect your use of the service.

5.1 Permitted uses

You may use the service only for lawful business purposes consistent with the intended functionality of the platform. This includes managing professional referral relationships, tracking referrals, and communicating with referral partners.

5.2 Prohibited conduct

You agree not to:

• Violate any applicable laws, regulations, or professional ethics rules
• Infringe on the intellectual property rights of others
• Upload, post, or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the service or servers or networks connected to the service
• Attempt to gain unauthorized access to any part of the service or any other systems or networks
• Use any automated system, including bots, scrapers, or spiders, to access the service
• Reverse engineer, decompile, or disassemble any aspect of the service
• Use the service to send spam or unsolicited communications
• Engage in any activity that could harm minors
• Share referral partner information with competitors or use it for purposes outside the intended scope of the service

5.3 Professional responsibility

If you are a licensed professional such as an attorney, financial advisor, CPA, or insurance agent, you remain solely responsible for compliance with all applicable professional conduct rules, licensing requirements, and ethical obligations. The service is a tool to assist you. It does not replace your professional judgment or responsibilities.

6.1 Your content

User content means any information, data, text, images, or other materials that you upload, submit, store, or transmit through the service. This includes referral partner information, notes, communications, meeting recordings, and any other content you create or share.

6.2 Ownership

You retain ownership of your user content. By submitting user content to the service, you grant ReferralPulse a non-exclusive, worldwide, royalty-free license to use, copy, process, and store your user content solely for the purpose of providing and improving the service.

6.3 Your representations

You represent and warrant that:

• You own or have the necessary rights to share all user content
• Your user content does not violate the privacy rights, publicity rights, intellectual property rights, or other rights of any third party
• You have obtained any necessary consents to share information about third parties such as referral partners

6.4 Content removal

ReferralPulse reserves the right to remove any user content that violates these terms or that is determined, at sole discretion, to be objectionable. There is no obligation to monitor user content, but it may be monitored at ReferralPulse's discretion.

7.1 AI-powered features

The service includes AI-powered features such as partner matching, email drafting, meeting transcription, and recommendations. These features use artificial intelligence and machine learning to process your data and generate outputs.

7.2 AI limitations

You acknowledge and agree that:

• AI outputs are suggestions only and should not be relied upon without human review
• AI-generated communications should be reviewed and approved before sending
• Match scores and recommendations are estimates and not guarantees
• Meeting transcriptions may contain errors and should be verified
• AI features do not replace professional judgment or advice

7.3 No training on your data

ReferralPulse does not use your user content to train AI models. Your data is processed only to provide the service to you.

7.4 Opting out

You may disable AI features in your account settings at any time. See the privacy policy for more information about how your data is processed.

8.1 Integrations

The service may integrate with or allow you to connect third-party services such as CRM systems, calendars, email providers, and meeting platforms. Your use of those third-party services is governed by their respective terms of service and privacy policies.

8.2 Authorization

By connecting a third-party service, you authorize ReferralPulse to access and use information from that service in accordance with the privacy policy. You represent that you have the authority to grant this access.

8.3 No endorsement

Integration with a third-party service does not constitute endorsement of that service. ReferralPulse is not responsible for the availability, accuracy, or functionality of third-party services or any harm resulting from your use of them.

9.1 ReferralPulse intellectual property

The service, including all software, design, text, graphics, logos, icons, images, audio clips, and other content (excluding user content), is owned by or licensed to ReferralPulse and is protected by copyright, trademark, and other intellectual property laws.

ReferralPulse, the logo, and other marks are trademarks of ReferralPulse. You may not use these trademarks without prior written permission.

9.2 Limited license

Subject to these terms, ReferralPulse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes. This license does not include the right to:

• Modify, copy, or create derivative works of the service
• Sublicense, sell, resell, or transfer the service
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices

9.3 Feedback

If you provide suggestions, ideas, or feedback about the service, you grant ReferralPulse a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

10.1 Subscription plans

Certain features of the service require a paid subscription. Subscription plans, pricing, and features are described on the ReferralPulse website and may change from time to time.

10.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• You authorize ReferralPulse to charge your designated payment method for all fees
• All fees are non-refundable except as expressly stated or required by law
• You are responsible for providing accurate and current payment information

10.3 Price changes

ReferralPulse may change subscription prices upon at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle.

10.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to paid features until the end of that period.

11.1 Termination by you

You may terminate your account at any time by contacting ReferralPulse or using the account deletion feature in your settings. Upon termination, your right to use the service immediately ceases.

11.2 Termination by ReferralPulse

ReferralPulse may suspend or terminate your access to the service at any time, with or without cause, including if there is reasonable belief that:

• You have violated these terms
• Your use poses a security or legal risk to ReferralPulse or others
• Your account has been inactive for an extended period
• Providing the service to you is no longer commercially viable

11.3 Effect of termination

Upon termination:

• Your right to access and use the service immediately ceases
• You may request export of your data within 30 days of termination
• ReferralPulse may delete your account and user content after 30 days, subject to legal retention requirements
• Sections of these terms that by their nature should survive will survive termination

The service is not intended to provide legal, financial, or professional advice. Always consult qualified professionals for advice specific to your situation.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless ReferralPulse and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the service
• Your user content
• Your violation of these terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any dispute between you and a referral partner or other third party

15.1 Informal resolution

Before initiating any formal dispute resolution, you agree to first contact legal@referralpulse.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration agreement

If informal resolution is unsuccessful, you and ReferralPulse agree to resolve any disputes through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in the English language and take place in the State of Florida, or at another mutually agreed location.

15.3 Class action waiver

You and ReferralPulse agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

These terms may be modified at any time. When changes are made:

• The Updated date at the top of these terms will change
• For material changes, notice will be provided by email or through a prominent notice inside the service
• At least 30 days' notice will be given before material changes take effect

Continued use of the service after the changes take effect constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must stop using the service.

17.1 Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

17.2 Entire agreement

These terms, together with the privacy policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ReferralPulse concerning the service.

17.3 Severability

If any provision of these terms is held to be unenforceable, that provision will be modified to reflect the parties' intention, and the remaining provisions will remain in full force and effect.

17.4 Waiver

Failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

17.5 Assignment

You may not assign or transfer these terms or your rights under them without prior written consent. ReferralPulse may assign its rights and obligations without restriction.

17.6 No agency

Nothing in these terms creates any agency, partnership, joint venture, or employment relationship between you and ReferralPulse.
